Funds Lawyer, Dublin Salary €60,000-80,000
Duties:
• Review and comment (from an administrators perspective) on the various documentation involved in an offshore hedge fund
• Offer memorandum, memorandum & articles of association, investment management agreement, prime broker documents
• Prepare and negotiate the Administration Agreement which forms the principle contract with the fund
• Liaise with the fund's external counsel (both in the UK and offshore jurisdictions like the Cayman Islands and Bermuda) at the launch stage of a fund and ongoing as issues arise -Liaise with the fund's registered office to ensure timely filings with the Cayman Authorities (ongoing)
• Liaise with the various Irish Stock Exchange Listing sponsors to ensure compliance with ISE listing rules (ongoing)
• Work with internal clients (managing directors, senior account managers, operational teams, investor relations group) on an ongoing, daily basis to deal with issues that arise on existing funds administered by the organization
• Oversee the corporate secretarial function
• Advise directors on current legal issues concerning the industry. Eg- Anti-money laundering regulation, US regulatory issues that concern US onshore funds they administer
Candidate Profile
• Qualified Lawyer/Barrister, ideally 2-5 yrs pqe
• Experience in funds industry, hedge fund experience would be advantageous
• Proactive, hands on approach
• Confident and both a team player and able to work on own initiative
• Commercially aware with ambition
• Attention to detail
